The Jr. Corporate Legal Counsel for Land Acquisition and Contract Management is responsible for providing end-to-end legal services from identifying the flaws in the property documents of the target lots, ensuring the title is transferred and registered under the name of the company within agreed timelines. This scope of work carries over to the entire Daiichi Properties group of companies and its associations, both current and future additions.
Job Requirements
- Education Level: Bachelor’s Degree – Juris Doctor or Bachelor of Laws.
- 3 – 5 years of combined relevant experience from a law firm and in a similar in-house counsel position from another real estate development company.
- Eligibility: Member of the Philippine bar in good standing.
- Knowledge of land acquisition and title transfer process.
Job Responsibilities
Land Acquisition and Title Transfer:
- Conduct pre-acquisition due diligence on the target lot to be acquired.
- Structure the transaction and prepare the Deed of Sale and/or other implementing documents for the acquisition of the target lot.
- Finalize the transaction with the transfer of ownership, ensuring that legal title passes from the seller to the company.
- Conduct post-acquisition checking of legal requirements for title transfer and propose appropriate remedial action for flagged risks.
- Manage, oversee and track the timely submission of dockets to the BIR, the Register of Deeds and the City Assessor’s Office.
Contract Management:
- Draft, evaluate, revise and negotiate a variety of contracts including but not limited to lease contracts, non-disclosure agreements, contracts with utility service providers, renewals and extension agreements.
- Ensure that the terms of the contracts are written in plain language that is legally binding in accordance with business objectives and in compliance with the law, company policies and applicable regulations. Track deviations from standard contract templates.
Corporate Services:
- Draft resolutions, special powers of attorney, correspondences and other corporate documents for all entities of the business.
- Manage and maintain the corporate registers (directorships, shareholdings, resolutions/minutes) for all entities of the business.
- Manage the execution, coordination and notarization of various corporate and transactional documents.
Special Projects:
- Perform legal advisory and other tasks as may be assigned from time to time.
